Company creation: formalities for the registration of a business

Ready to build your business? After completing various formalities, including your domicile, you must proceed to the registration of your business.

SARL/EURL

It is possible to start your business before the registration of the business.

For example, it may be necessary to sign a lease or to charge future customers.

It is important to indicate on all documents the words "Business in training".

An annex to the articles of association must also be drawn up, indicating all the documents passed before the application for registration was made.

In this case, the application for registration must be made within 30 days which follow the start of activity.

Conversely, it is also possible to start business after the application for registration. In this case, the starting date must be fixed at the latest within 15 days of the application for registration.

Warning  

Since 1er january 2023, it is no longer possible to carry out your procedures in a company Formalities Center (CFE). You must make them on the website of the company formalities office.

You are a member of the National company Directory (RNE: titleContent) and the register of commerce and business (SCR: titleContent).

FYI  

If you are a commercial agent, you are also automatically registered in the special register of commercial agents (SFCR: titleContent).

EURL

You must attach the following documents in PDF format:

  • If you're married, exemplary signed and dated the certificate of issue of the information given to the spouse of the consequences on the common property of the debts incurred in the exercise of your profession

SARL

You must attach the following documents in PDF format:

Registering your business in the Commercial and business Register costs €37.45.

In the case of double registration in the national register of companies in the category of craftsmen, it costs more €15.

Once your complete file has been sent, you will receive a receipt for the deposit of a company creation file (RDDCE) marked Pending Registration.

This receipt is important because it will allow you to do all the necessary procedures with public and private organizations. For example, you can subscribe to compulsory insurance and complementary for the company, join a pension fund.

The receipt is valid until you receive a notification from the companies formalities window confirming the registration of the business. The maximum validity of the receipt is 1 month.

Once you have registered, you will receive a document containing your Siren number.

If your file is incomplete, you will receive a receipt from the companies you depend on, indicating the missing items to be sent. You will have a deadline of 15 working days upon receipt of the receipt to send these items.

  • If you are engaged in a regulated activity, a copy of the authorization to engage in the activity, diploma or qualification
  • If you have made a purchase of goodwill, copy of the bill of sale and copy of the certificate of publication in a medium of legal announcements of the notice of purchase
  • If you have taken management leasing of the goodwill, copy of the management leasing agreement and of the certificate of publication in a medium of legal announcements of the notice relating to the management leasing
  • If you have taken a mandate-management of goodwill, copy of the mandate-management contract and the certificate of publication in a legal advertisement medium of the notice relating to the mandate-management

Documents to be provided for the Director, Managing Director or Chairperson:

  • Copy of their ID card
  • Declaration on Honor of non-conviction and attestation of filiation for each of them (dated and signed)
  • If the President has not been appointed in the statutes, a copy certified by the President of the instrument appointing him
  • If the Director-General has not been appointed in the statutes, a certified copy by the President of the instrument appointing him

Documents to be provided for the business, Managing Director or Chairperson:

  • Siren Number the governing business (or a document attesting to its existence if it is not registered)
  • If the business is not registered in the European Union, a copy of its statutes translated into French and certified by its permanent representative
  • For the Permanent Representative of the business:
  • Copy of the document confirming the place of permanent representative of the administrative business

Registering your business in the Commercial and business Register costs €37.45.

In the case of double registration in the national register of companies in the category of craftsmen, it costs more €15.

  • For the Permanent Representative of the business:
  • Copy of the document confirming the place of permanent representative of the administrative business
